Look for a Chapter 7 filing soon; that’s a liquidation plan, not reorganization. The judge will part-out and sell ChryCo's few valuable assets to the highest bidders. There will be no “Hail Mary” pass to General Motors, no government rescue, no money from Cerberus to keep its corpse from the grave. Even a quick scan reveals that there are more potential scenarios and pitfalls than Operation Eagle Claw, America’s ill-fated attempt to rescue its hostages from Iran. Cerberus trades Chrysler to GM for GM’s remaining share of GMAC. Chrysler sells Jeep to Renault and the rest to GM. Chrysler parts out the company and THEN declares Chapter 11. But no matter how this plays out, foot soldiers will be sacrificed, the American auto industry will remain bound and gagged and the generals will get off Scott free.

TTAC republishes it here in its entirety, without editing, to provide insight into Chrysler's call on the public purse, and the ailing automaker's plans for the future. Such as they are... "The campaign season is in full swing, with the Democrats holding their convention in Denver this week, and the Republicans meeting in Minneapolis-St. Paul next week. John Bozzella, Vice President of External Affairs and Public Policy, will be at both conventions, hoping to win over Congressional support for funding the auto industry’s technology transformation to build a new fleet of fuel-efficient vehicles. We talked to Bozzella from Democratic Convention in Denver about the effort.

Q – Why are you in Denver this week and what are you hoping to accomplish?

The American automaker's attempts to expand globally in the early ‘60s ended with Chrysler selling their European operations (Rootes Group, Simca and Barreiros) to PSA Peugeot Citroën. In the 70's, Chrysler off-loaded their Australian subsidiary to Mitsubishi. ChryCo's last U.S. partnership with a Japanese manufacturer (Mitsubishi again) ended on less than cordial terms. The "merger of equals" with Germany's Mercedes-Benz almost [may actually have] killed it. So why would Chrysler entertain the idea of another off-shore partnership? And why would Nissan ever want to partner with an automaker as moribund as Chrysler?

Given ongoing bankruptcy rumors, the automaker’s co-Prez immediately manned the PR barricades. Jim Press reassured the world that Chrysler is simply diverting lease subsidies into “traditional financing.” That way, “many customers” could enjoy “about” the same monthly payment that they “would have had” in a lease. Meanwhile, ChryCo spokeswoman Shawn Morgan sang the same old song. "Despite the challenges, Chrysler continues to meet or exceed its plan on all financial metrics." C’mon, really?

It’s been done quietly, in the open, but under obnubilating nomenclature. That last phrase says it all. Why lie when you can make the truth so damn confusing? While Cerberus denies imminent sell-off, a cadre of automotive executives has Chrysler on a hook, passing around a felt tip pen. In fact, a pre-break up party is the only way of explaining some of the crazy-ass deals the three-headed dog has been fetching lately.

“It’s a New Day.” Unless you’re terminally ill or the guest of a terrorist cell, this observation won’t come as much of a surprise or, in itself, cause much delight. And yet that’s the tagline for the [now] combined Chrysler, Dodge and Jeep brands. In an explanatory TV ad, an animated child tells viewers that the American automaker will [now] listen to YOU and build cars the cars YOU want. The ad is an excellent example of what Adolph Hitler called The Big Lie: a falsehood so "colossal" that no one would believe that someone "could have the impudence to distort the truth so infamously". To wit: if any single automaker ISN’T building the cars YOU want, it’s Chrysler.

Headcount was slashed by over 50 percent. By necessity, the old ways of doing business were consigned to the crusher. “New Chrysler’s” execs, managers, marketers, designers, engineers, union workers and suppliers all had to work together to find creative ways of doing more with less. With Lee Iaccoca at the helm, it was a seminal moment in Chrysler’s history: an opportunity for the once great American car company to thoroughly reinvent itself.

Chrysler’s current self-destructive phase, as chronicled by TTAC, is hardly its first. From its very beginnings, the patient has suffered from symptoms of bi-polar syndrome. Technically, no. Operationally, yes. The only thing that keeps us from going into bankruptcy is the $10 billion investors entrusted us with." Another milestone: Chrysler CEO Bob Nardelli used the “b word’ in public. What’s more, Boot ‘em Bob told the Wall Street Journal (WSJ) that he’s on a leash so short he can feel the hot breath of his Cerberusian owners tickling his neck hairs. Why’s that then? Because all Hell's about to break loose.

<itunes:summary>How in the world did the United Auto Workers (UAW) boss Ron Gettelfinger think he could get his Chrysler members to ratify their proposed contract without providing job guarantees? Did he seriously believe a $3k signing bonus would convince his otherwise carrot-less union brothers and sisters to surrender their right to graduate into cushy #8220;non core#8221; jobs? Or was Gettelfinger blindsided by his own ego; figuring he could yell #8220;roll over#8221; and #8220;play dead#8221; at 45k well-paid autoworkers and make it so? Either way, the question must be asked: what the Hell is going on? First, the latest point in our connect-the-dots sequence: a so-called #8220;secret handshake#8221; deal between the UAW and Chrysler. Reuters reports that UAW VP General Holiefield told Local leaders he made an unannounced pact with Chrysler to keep certain U.S. plants open if members ratify the new contract. Assuming Chrysler workers will believe Holiefield-- a stretch given the rancor surrounding the po-faced contract-- it#8217;s a clever play. But is it true?#160; If Chrysler owner Cerberus offered their UAW members job guarantees, surely BOTH sides would want them in writing to ensure the new contract#8217;s ratification. There are two possible reasons why the union would hide assurances of job security. Either the UAW knows that this alleged job security is highly selective (i.e. they realize that Chrysler#8217;s about to shut plenty o#8217; plants) and therefore divisive, or there wasn#8217;t any #8220;secret#8221; deal. It#8217;s just a desperate UAW officer blowing smoke up his members#8217; collective asses. No matter how you look at it, the UAW leadership has rolled onto its back doggie style, their members aren#8217;t buying the new deal and the union brass are growing increasingly desperate. To wit: not only did the International approve the contract by voice vote, but they aren#8217;t reporting ANY member voting totals. The Locals are playing fast and loose with the numbers as well. The Detroit News says that three quarters of their yes/no stats arrive as percentages, rather than precise numbers. Could the UAW cheat their way to ratification? Sure. And if the subterfuge is discovered, there will be Hell to pay-- within the UAW, relative to Chrysler and, lest we forget, over at Ford. And what will happen if the rank and file reject the contract? The key to this conundrum, indeed, the explanation for this incipient chaos, lies within the UAW#8217;s six-hour strike with Chrysler.#160; It#8217;s critical to note that the Chrysler strikette represented a split within the union, rather than a united push for more concessions. After the UAW walked out, they did not return to the bargaining table; they simply signaled Chrysler that they were ready to sign. Lead negotiator Bill Parker#8217;s immediate and public opposition to the deal is proof positive that the UAW was of two minds. And the bit that said this is as good as it#8217;s ever gonna get won. Think of it this way: Union boss Ron Gettelfinger understands that Chrysler is a company staring down the barrel of Chapter 11. He also knows Cerberus stands ready, willing and able to let its 45k union employees go on strike-- and break it. He must have figured it#8217;s better to capitulate now and make it look like tough negotiation, rather than face Cerberus#8217; nuclear winter. And he may have been emboldened by his success at GM.#160;#160; But there#8217;s one thing Gettelfinger didn#8217;t/doesn#8217;t understand: his members#8217; ignorance and militancy. The average Chrysler worker doesn#39;t believe that his or her employer is about to go under. They don#39;t appreciate the fact that Chrysler#8217;s lack of a foreign sales safety net makes it especially vulnerable. They don#39;t understand that one of the world#8217;s richest private equity firms will hang the company out to dry in a New York minute if they think it#8217;s an irredeemable</itunes:summary>

When the dots are numbered sequentially (with a few outlining details thrown in to keep 'em focused), it's easy to do. When the numbers are missing, it's hard to see anything more than random points on a page. And so it is with Chrysler, an American automaker that's generated enough bloggable news during the last six months to keep Google News-alerted surfers away from their designated job for hours at a time. Even though only Chrysler's new owners know their real game plan, there's been enough new "dots" to form a recognizable pattern. What it reveals is a company on the cusp of a major revolution.

The United Auto Workers (UAW) six hour strike against Chrysler was nothing more than a bit of empty posturing, some meaningless moaning and a quick and unsatisfying climax. Oh I’m sure the union bosses are basking in the warm afterglow of successful pattern bargaining; safe in the knowledge that Chrysler will render unto Caesar the same plunderiffic health care deal as GM, as they look fordward to their next payout. And Chrysler’s new masters must also be happy with the deal. (Ipso facto.) But anyone who’d hoped that someone in Detroit would have the balls to finally shaft the UAW has been left high and dry.

Other than some relatively minor dealer antagonism (since smoothed over), there’s been none of the slash-and-burn stylings formerly attributed to ex-Home Depot CEO Bob Nardelli and his new, private equity employers. Perhaps a companywide excrement - fan collision awaits the conclusion of United Auto Workers negotiations. Meanwhile, Chrysler better start getting its you-know-what together on the product front, ‘cause the cupboard is almost completely bare.

Given this inescapable fact, you'd think that the hard-pressed born-again domestic automaker would do everything in its power to keep the folks on the American front lines happy. After the sales bank debacle, after brazen "channel stuffing" (forcing dealers to take cars), after barring "under performing" Chrysler dealers from the company's life-sustaining used car auctions, after sending these dealers letters threatening to shut them down, you'd think Chrysler's corporate clowns would have run out of ways to alienate the troops. So that's it. Later this financial quarter, prefix and suffix will go their separate ways and Cerberus Capital Management will marry the battered bride. Overlooking the fact that Chryslerberus will soon be importing Chinese-built cars for their U.S. customers, the automaker plans a nationwide dealer party for the born-again "all-American company." With all that has-- and hasn't-- happened to Chrysler of late you have to wonder exactly what and why they're celebrating.

Yesterday, federal regulators cleared DaimlerChrysler's suffix sale to Cerberus Capital Management. In the absence of any immediate change to the status quo, the United Auto Workers (UAW) and the Canadian Auto Workers (CAW) couldn't be happier with their new overlords. Chrysler dealers have also met with the new bosses and sworn their fealty. So it's one big happy family, all pulling together for their mutual health and happiness. And if you believe that, I've got some Ford stock I'd like to sell.

Anyone who challenged the three-headed dog was ripped to shreds. In American business, the Cerberus private equity group guards the investment firm’s cash. Unlike the mythical canine, they don’t wait for foolish interlopers. They seek out struggling companies and rip them to shreds-- sorry, “turn them around.” For reasons yet to be revealed, the United Auto Workers (UAW) have welcomed today’s announcement that Cerberus has purchased Chrysler from its German overlords. Any one of these tasks would have finished off a mere mortal, but the dynamic demigod persisted, prevailed and finished the job. Of course, ol' Herc only had to do things like slay the Nemean Lion, kill the Stymphalian Birds, obtain the Girdle of Hippolyte and capture Cerberus the guardian dog of Hades (not to be confused with Cerberus the guardian dog of GMAC). I mean, it's not like he had to do something really hard, like save the Chrysler Group. That's the one task that could have turned our hero back into a zero. Just ask Chief Executive Officer (CEO) and President of Chrysler Group, Tom LaSorda.

I retrieved my Jeep Liberty and drove it to the Olds across a sea of tidal dunes carved into the coast like three foot swells; the Liberty loped from crest to crest in a spray of sand. Within minutes, I dug out enough of the Olds’ front bumper to affix a strap and pull the trapped car onto smooth packed beach. So how does this Jeep lover rate the prospects for the new 2008 Jeep Liberty? D.O.A.

If you pay for the garbage man to empty the dustbin, does that mean you have sold something to the garbage man?" While calling Chrysler a "scrapheap" is a bit harsh-- the American automaker supported Mercedes for several years when the Germans were losing money-- one wonders how Kirk Kerkorian feels about being called a garbage man.

<itunes:summary>According to the Consumer Federation of America, most large insurance companies rely on computer programs like #34;Colossus#34; and #34;Claims Outcome Advisor.#34; These spreadsheets calculate how much money an insurer can save if they deny ALL their customers#8217; claims. The companies then set an acceptable claim approval rate and instruct their adjustors to #8220;delay, deny and defend.#8221; Readers with children will recognize Mr. Incredible#8217;s fictional employer Insuricare. Readers without sprogs should recognize DCX. First, the corporate mothership determines how much money they want to #34;save.#34; Then the word goes out. Delay. Do not address fundamental problems: runaway health care and pensions costs, stifling union work rules, bloated dealer network, lousy branding and relatively poor product quality. Deny. Keep telling everyone that everything#8217;s going to be alright. Defend. Maintain the status quo at all costs; only make changes that tweak the existing system. Obviously, Chrysler is not the only American automaker that bases its business on The Triple-D Defense. The media#8217;s fascination with Chrysler#8217;s German ownership has obscured the simple fact that the automaker#39;s plight is, at the deepest level, no different from GM#39;s and Ford#39;s. While Banc of America celebrity auto analyst Ron Tadross continues to fan the flames of the #8220;Chrysler for sale#8221; conflagration-- suggesting that the American automaker is viable as an independent company because its smaller and not quite as FUBAR as GM and Ford--#160; Chrysler is plenty big enough to stress DCX#8217; independent-minded shareholders and just as FUBAR as GM and Ford.#160; DCX CEO Dieter Zetsche#8217;s response to industry speculation about his American subsidiary#8217;s financial distress underlines Chrysler#39;s underlying weakness. Dieter#39;s public declaration that he#39;s #34;considering all options#34; also highlights the point we#8217;ve been making here for some time. Chrysler#39;s equals Germans masters are happy to stand back and watch Chrsyler kill itself.#160;#160; Why else would Dieter allow Chrysler#8217;s management to institute Plan X From Outer Space, a carbon copy of Ford#8217;s Way Fordward and GM#8217;s Jump Down Turnaround Sell Every Bale of Hay? Chrysler will now cut jobs (mortgage its future to shed its union-protected workforce), close factories (amputate market share), reduce inventory (try to match supply against market share it#8217;s already lost), sell the family silver (including #8220;transportation services#8221;), re-invest in what they should have built in the first place (allocate $3b for new engines, transmissions and axles), promise to build something that will sell (hybrids) and, last but not least, die. The media seems entranced by any discernible difference in Chrysler#39;s story and that of its cross-town rivals. Will GM and Chrysler share the rapidly deflating life preserver known as the GMT900 truck platform? Again, the similarities between Chrsyler#39;s overall situation and that of GM and Ford are far more important than any SUV freak show. And just as The Big Two#39;s dreams of resurrection are floundering on the rocks of reality, Chrysler#39;s Plan X turns the phrase #34;product strategy#34; into an oxymoron. The official bumph is pretty vague. Chrysler says it will shift its product mix away from trucks and SUV#8217;s towards smaller and more fuel efficient vehicles. Plan X includes unspecified promises to cut three to six models from the company#8217;s 32-vehicle lineup. It has also promised 20 all-new vehicles and 13 refreshed vehicles by 2009. In other words, beating Ford and GM in the deck chair rearranging sweepstakes is Job One. While it#8217;s true that Chrysler#8217;s virtually perfected the art of badge engineering eliminating development costs (e.g. the #34;new#34; Avenger will be a rebodied Sebring), launching so many new mo</itunes:summary>

The automaker and the guitarist were both in dire straits. Unlike the British rock group, Chrysler’s sales were stuck at rock bottom. Most of the automaker’s offerings were badge engineered clones. Overproduction and their so-called “sales bank” had pushed inventory to an all-time high, dragging profits to an all-time low. Enter Lee Iacocca. Lee took draconian measures: cutting models, restructuring, trimming fat and introducing radical new models. Within a few years, Iacocca’s intervention had transformed a company on the brink of disaster into a profitable enterprise. Twenty years later, Chrysler’s come full circle. And once again, it’s time for intervention.

The new Sebring is a far deadlier proposition: a car headed straight for rental car Hell. For a few bills less than our semi-loaded (half cocked?) Sebring tester, you can buy a base Chrysler 300, which, according to Mr. Mehta, has “reinvigorated American car design.” The new Sebring is less invigorating than Vicodin. In fact, I reckon the model only exists because car rental customers are still willin' to take what they get.

Mergers are always tricky in the auto business. It can work-- if both sides put forth an effort. Unfortunately the DCX mess looks rather familiar…

Germans don’t like the phrase “assisted suicide.” The preferred term is aktive Sterbehilfe (active assistance in dying). Apparently, it's not a crime. Euthanasia is a crime. Assisted suicide is not. However you slice it, it's clear that this “activity” is not unknown in Germany’s corporate culture. While DCX’ leadership keeps insisting they want to nurture the Chrysler group back to health, they seem Hell bent on helping it meet its demise.

The “partnership of equals” between America’s Chrysler Corporation and Germany’s Daimler-Benz bore fruit in the form of the critically acclaimed Chrysler 300 and Dodge Magnum. “Hemi” was the performance buzzword. “SRT” indicated the performance deal of the decade. Fast forward to ’06 and everything Chrysler's doing seems strangely, willfully, specifically designed to push the automaker to the brink of self-annihilation.
